Where the Company makes a profit in an annual final settlement, it shall first pay taxes, offset accumulated losses, set aside 10% as legal reserve, and set aside or reverse a special reserve in accordance with applicable laws and regulations. If any balance remains, together with the accumulated undistributed earnings, the Board of Directors shall prepare a proposal for the distribution of earnings and submit it to the shareholders' meeting for a resolution to distribute dividends and bonuses to shareholders
The provision of the legal reserve mentioned in the preceding paragraph is no longer required when it reaches the total capital of the Company.
The Company's dividend policy is formulated in coordination with current and future development plans, taking into consideration the investment environment, capital requirements, and domestic and international competitive conditions, while also balancing shareholders' interests. Each year, out of the distributable earnings, an amount of no less than twenty percent (20%) shall be appropriated as shareholders' dividends and bonuses, which may be distributed in the form of stock or cash. To maintain a stable dividend policy, when the Company distributes dividends, the cash dividends shall not be less than ten percent (10%) of the total dividends; provided, however, that if the Board of Directors resolves not to distribute dividends and such resolution is approved by the shareholders' meeting, this restriction shall not apply. Where the Company has no earnings, it shall not distribute dividends and bonuses; however, in consideration of the Company's financial, business, and operational factors, all or part of the legal reserve and capital reserve may be distributed in accordance with laws, regulations, or competent authority provisions.
